Sustainable Finance Disclosure Regulation (SFDR) Disclosures
Introduction
This disclosure is made by Ellipsis Venture GP S.à r.l. (the "AIFM") in accordance with Regulation (EU) 2019/2088 on sustainability-related disclosures in the financial services sector ("SFDR").
The AIFM manages an alternative investment fund established for investments into AI focused startups. The investment strategy of the AIF under management is investing in pre-seed and seed startups where AI is the core product. It is sector-agnostic but prioritizes companies building defensible AI businesses through proprietary data, specialized expertise, and strong technical moats, while providing hands-on operational support beyond capital.
The AIF managed by the AIFM is classified as an Article 6 financial product under SFDR. The AIF does not promote environmental or social characteristics and does not have sustainable investment as its investment objective.
Article 4 SFDR – Principal Adverse Impacts on Sustainability Factors
In accordance with Article 4(1)(b) of Regulation (EU) 2019/2088 ("SFDR"), the AIFM does not currently consider the principal adverse impacts of its investment decisions on sustainability factors within the meaning of SFDR.
This approach has been adopted having regard to the size, nature and scale of the AIFM's activities, the characteristics of the AIF under management and the nature of the investments made by the AIF. In particular, a significant proportion of the AIF's investments may comprise private companies, early-stage businesses and other issuers for which comprehensive, reliable and comparable sustainability-related data is not consistently available.
Although the AIFM integrates sustainability risks into its investment decision-making process in accordance with Article 3 SFDR, it does not currently assess or monitor the mandatory principal adverse impact indicators prescribed by the SFDR Regulatory Technical Standards, nor does it publish a Principal Adverse Impact Statement under Article 4(1)(a).
The AIFM will continue to monitor developments in regulatory requirements, market practice and the availability and quality of sustainability-related information. The AIFM may review this position in the future should it determine that consideration of principal adverse impacts is appropriate having regard to the evolution of its activities and the availability of relevant data.
Review of Disclosures
The AIFM may amend or update these disclosures from time to time to reflect changes in applicable laws, regulations, regulatory guidance, investment activities or internal policies.
